General Terms and Conditions of Sale and Delivery NGD Care

Article 1 – Applicability

  1. These General Terms and Conditions of Sale and Delivery apply to every oral and written offer, offer, agreement and all obligations arising therefrom between NGD Care and a customer (Any natural or legal person who wishes to buy or buy products from NGD care, or who wishes to conclude or conclude any agreement of another nature with NGD care).
  2. Deviations from these General Terms and Conditions of Sale and Delivery are only valid if they have been expressly agreed in writing by NGD Care and the customer and only apply with regard to the specific agreement to which the deviations relate.
  3. NGD care is part of naturally healthy animals and has the same postal address, account number and Chamber of Commerce number.


Article 2 – Offers and quotations

  1. Unless otherwise stated in writing, all offers and quotations of NGD care are without obligation and can be revoked by NGD care at any time, even if they contain a period for acceptance. Offers and quotations can also be revoked by NGD Care in writing within seven calendar days after receipt of acceptance, in which case no agreement has been concluded between the parties.
  2. We reserve the right to make changes to the product range and composition. Quotations are valid while stocks last.
  3. After acceptance of the verbal or written offer by the customer, NGD Care will confirm the order in writing to the customer.


Article 3 – Prices

  1. The purchase prices for the resale quoted by NGD Care are exclusive of VAT. The recommended public prices include VAT. All prices are exclusive of shipping costs and any order handling costs (abroad).
  2. NGD Care reserves the right to increase quoted purchase prices and public prices without prior notice, if an increase in costs has occurred for NGD Care since the conclusion of the agreement and before the delivery has taken place, which has been caused by changes in prices, rates, duties, insurance premiums, levies, taxes or exchange rates. The customer will be informed of the price increase and is entitled to dissolve the agreement within ten days of the announcement of the price increase without legal intervention. Up-to-date information on prices is available by phone or e-mail.
  3. For the price to be charged by the customer for the products supplied to the customer by NGD care, reference is made to recommended public and retail prices.
  4. In the event of resale, the customer is not permitted to lower or increase the public prices advised by NGD Care. Any actions may only be carried out after written approval from NGD Care.
  5. Individuals can get a discount with the help of a subscription to the supplements. This discount applies to a minimum purchase period of 6 months. If, for whatever reason, the subscription is terminated, the discount received will be reclaimed.


Article 4 – Payment

  1. Payment must be made within 14 days of the invoice date.
  2. If payment has not been made within the period set out in Article 4.1, the Client will owe interest at the rate of 1.5% per month on the entire invoice amount, with a minimum amount of 50 euros, as of the day that this period expires.
  3. All costs, both judicial and extrajudicial, for NGD Care related to the collection of amounts owed to it will be borne by the negligent customer. The extrajudicial costs amount to a minimum of 15% of the invoice amount, with a minimum amount of 250 euros, unless the actual costs are higher.
  4. In the event of non-payment, NGD care is entitled to suspend or dissolve the execution of the agreement and all related agreements.


Article 5 – Shipping conditions

  1. NGD Care tries to ship the order between 1 and 2 working days. The delivery period is not binding. Exceeding the delivery period does not put NGD Care in default as referred to in Article 83 of Book 6 of the Dutch Civil Code.
  2. NGD Care undertakes to the customer to pack the products properly and secure them in such a way that they reach their destination in good condition during normal transport.
  3. Once you have received the track and trace, the responsibility lies with the postal services. We regret any kind of delay, but we ask for your patience.
  4. Any visible defects must be communicated in writing to NGD Care immediately after discovery, but no later than 3 days after delivery, and non-visible defects immediately after discovery, but no later than 3 months after delivery.
  5. Depending on the dimensions and weight of the product, we use the standard rate of the postal services for the shipment of the order. This way, the rates remain transparent and you pay per order, rather than hidden costs per product.

Article 6 – Force majeure

If, as a result of force majeure, NGD Care is unable to deliver (on time), NGD Care has the right to suspend the delivery or to refrain from delivery altogether.

Article 7 – Returns

  1. NGD Care is not obliged to take back the goods delivered to the customer.
  2. NGD Care can only take back unopened and undamaged goods.
  3. The customer has 14 days to return products. All additional costs, such as packaging and shipping, are for the customer. Your invoice will be credited within 5 working days of receipt of unopened and undamaged goods.
  4. Returns after 14 days will no longer be accepted by NGD Care.

Article 8 – Liability and indemnification

  1. NGD Care’s liability for direct damage in the event of non-performance, late performance or improper performance is limited to the amount of the relevant invoice amount.
  2. NGD Care is never liable for indirect damage, including consequential damage, loss of profit, missed savings and damage due to business interruption.


Article 9 – Applicable law and competent court

All agreements to which these General Terms and Conditions of Sale and Delivery have been declared applicable are governed by Dutch law.
